UHS Completes Talkspace Acquisition, Borrows $400 Million Term Loan

Universal Health Services completed its acquisition of Talkspace, Inc. on August 17, 2026, after receiving regulatory approvals and satisfying customary closing conditions. UHS borrowed $400 million under a delayed draw term loan facility and additional, undisclosed amounts under its revolving credit facility to fund the transaction. Talkspace adds virtual behavioral healthcare across all 50 states, Washington, D.C., and Puerto Rico to UHS’s hospital and outpatient network, though UHS identified integration, financing and retention risks.
